It is hereby notified that the board of the Befesa Holding S.à.r.l., the parent company of Bilbao (Luxembourg) S.A. and the Parent Guarantor, as defined in the terms and conditions of the a.m. Notes, has been changed on November 20, 2014, with immediate effect. Members of the board of managers of Befesa Holding S.à.r.l. are: Javier Molina Montes (class A manager), Wolf Lehmann (class A manager), Heiko Dimmerling (class B manager), Michiel Kramer (class B manager), Antonis Tzanetis (class B manager).
It is further notified that pursuant to decision by an extraordinary shareholders meeting on Nov. 20, 2014 the composition of the board of directors of Bilbao (Luxembourg) S.A. has changed with immediate effect: Members of the board of directors of the Company are: Javier Molina Montes (class A director), Wolf Lehmann (class A director), Michiel Kramer (class B director), Dr. Thomas Sonnenberg (class B director), Antonis Tzanetis (class B director). The board of directors has elected on November 24, 2014 Mr. Javier Molina Montes as Chairman of the board of directors of Bilbao (Luxembourg) S.A., with immediate effect.
