Ismaning, 1 December 2011 - The Management Board and the Supervisory Board of Integralis AG have passed a resolution to issue 1,451,747 new shares to NTT Communications Deutschland GmbH on a contribution-in-kind basis involving partial use of the company's authorised capital and subject to the exclusion of the shareholders' pre-emptive subscription rights. By subscribing to the issue, NTT Communications Deutschland GmbH's share in Integralis could increase to somewhat over 78 percent of the voting rights.
In connection with the capital increase, Integralis AG will acquire a total of 58,923,114 shares in Secode AB, Sweden, as a contribution in kind, thus becoming its sole shareholder.

Prior to this Integralis already held a share of 12.43 percent in Secode AB. With a strong presence in Sweden, Norway, Finland and the Netherlands, Secode is widely acknowledged as one of the leading IT security providers for managed security services (MSS).

With the full takeover of Secode AB, Integralis will be strengthening a strategically decisive part of its product range. Against this backdrop, the company sees the capital increase as being an appropriate and strategically important transaction of benefit for all shareholders.
