BRILLIANT CIRCLE (01008.HK) Set up 2D Barcodes and O2O solutions JV

Brilliant Circle Holdings International Limited is pleased to announce that on 1 July 2015, SZGP and Guangxi Haiyun entered into the Strategic Cooperation Agreement, pursuant to which, among other things, SZGP and Guangxi Haiyun agreed to establish the Joint Venture Company in Shenzhen Qianhai with an initial registered capital of RMB15,000,000 (equivalent to approximately HK$18,750,000) for a term of 20 years which will be initially owned as to 51% by Guangxi Haiyun and as to 49% by SZGP for the purpose of developing the business of providing 2D Barcodes and O2O solutions for its clients.

Through the 2D Barcodes platform and the respective printed codes on the products, corporate customers of the Joint Venture Company will be able to strengthen the loyalty of their consumers by enhancing their interaction and user experience, to boost sales, combat counterfeit products, formulate corporate strategies and enhance branding. The climbing popularity of smartphones fuels the rapid increase in mobile internet usage worldwide. Coupled with the continuous improvement of 3G/4G network and development of public Wi-Fi network, the internet access platform of the mass public is gradually changed from desktop computers to mobile devices allowing mobile devices users to access to internet almost anytime and anywhere. It is expected that such landscape and the growing "e-commerce" or "m-commerce" provide a favorable environment and prospect for the development and expansion of the business of providing 2D Barcodes and O2O solutions.
