Acquisition offer to all the shareholders of GENERALE BEAULIEU HOLDING SA - Clinique Générale-Beaulieu joining Swiss Medical Network

GENERALE BEAULIEU HOLDING SA ("GBH") and Swiss Medical Network SA, a 100% subsidiary of AEVIS VICTORIA SA (listed on SIX Swiss Exchange), today announce the signing of a transaction agreement inviting Clinique Générale-Beaulieu to join Swiss Medical Network.

Swiss Medical Network is one of the leading private hospital groups in Switzerland, and the only one present in the three main linguistic regions. The group, which counts 15 private establishments in Switzerland, around 1,250 admitting physicians and 2,750 employees, is already present in Geneva with the Centre Médico-Chirurgical des Eaux-Vives and the Centre d'Oncologie des Eaux-Vives.

Clinique Générale-Beaulieu, founded in 1899, is a multi-disciplinary private clinic, specialised in orthopaedics, general surgery, urology, gynaecology and obstetrics. The clinic also has a radiology institute, an institute of nuclear medicine and a physiotherapy & functional rehabilitation centre. Equipped with a technical platform of the latest generation and eight operating theatres, Clinique Générale-Beaulieu accounts for around 5,700 hospitalisations per year. Clinique Générale-Beaulieu has approximately 400 employees and 600 admitting physicians.

The clinic buildings, which are owned by GBH, are ideally located in the heart of the residential area Champel in Geneva, in very pleasant natural surroundings. The main building of the clinic was constructed in 1983 and has a total surface of 18,000 m2. On its site, Clinique Générale-Beaulieu accommodates approximately 70 medical practices, covering all medical specialties.

By joining Swiss Medical Network, Clinique Générale-Beaulieu will benefit from the advantages of a national group, allowing the realisation of synergies and the development of medical cooperations through the creation of multi-site competence centres. An independent management will at the same time allow Clinique Générale-Beaulieu to safeguard its values and specificities.

The objective of this transaction is to reinforce Clinique Générale-Beaulieu's position as the benchmark private clinic in Geneva and to further ensure its development - to the benefit of its patients, employees and physicians.

Swiss Medical Network will thus collaborate with the employees and admitting physicians of Clinique Générale-Beaulieu as it has done with the other clinics of the group, in order to continue developing this independent establishment, strongly embedded in the regional healthcare landscape and simultaneously benefiting from the strengths and structure of a national group.

In accordance with the transaction agreement, Swiss Medical Network will submit an acquisition offer in cash to all the shareholders of GBH on 14 September 2016, for all registered shares of GBH, at a price of CHF 25,000 per share. This offer will allow all shareholders to sell their shares at an attractive price, in particular compared to the last prices paid on the OTC-X market. The price offered by Swiss Medical Network values GBH at CHF 187.5 million.

The Board of Directors of GBH has decided to recommend to its shareholders to accept the offer of Swiss Medical Network and has committed to approve the registration of Swiss Medical Network SA in the share registry of GBH as owner of all the shares that will be tendered in the context of this offer.

In this context, Swiss Medical Network SA also signed an agreement with Albin Kistler AG on 13 September 2016 regarding the acquisition of a participation of approximately 29% of GBH at the above price of CHF 25,000.- per share.
