Final result of the acquisition offer of Swiss Medical Network SA for Générale Beaulieu Holding SA

More than 70% of the shares of Générale Beaulieu Holding SA were sold to Swiss Medical Network SA, which continues its development with its first hospital in Geneva.

On 13 September 2016, Swiss Medical Network SA published an acquisition offer for all shares of Générale Beaulieu Holding SA. The offered price per share of Générale Beaulieu Holding SA amounts to CHF 25'000.00.

At the expiry of the offer period on 17 October 2016, 5'315 Générale Beaulieu Holding SA shares were sold to Swiss Medical Network SA, corresponding to 70.9% of the total of 7'500 Générale Beaulieu Holding SA shares.

Swiss Medical Network is pleased with the great success of the offer, as almost all shareholders of Générale Beaulieu Holding SA have decided to sell their shares and support the project of Swiss Medical Network for Clinique Générale-Beaulieu. Swiss Medical Network remains open to acquire the remaining 0.4% of the share capital, at the same conditions. The Société coopérative médicale de Beaulieu, which holds 28.7% of Générale Beaulieu Holding SA, has time until the end of 2017 to either sell its shares at the conditions of the offer or remain a shareholder alongside Swiss Medical Network.

Générale Beaulieu Holding SA will be consolidated into Swiss Medical Network SA as of 1 November 2016. Subsequently, teams from Swiss Medical Network and Clinique Générale-Beaulieu will start collaborating closely on the integration of the Geneva clinic into Swiss Medical Network.

Clinique Générale-Beaulieu will be one of the largest hospitals of Swiss Medical Network and will benefit from the advantages of a national group, allowing the realisation of synergies and the development of medical cooperation. An independent management will at the same time allow Clinique Générale-Beaulieu to safeguard its values and characteristics. This will reinforce Clinique Générale-Beaulieu's position as the benchmark private clinic in Geneva and ensure its development to the benefit of its patients, employees and physicians.
