Investis Holding SA held its Annual General Meeting of Shareholders in Zurich today. The AGM was attended by 39 shareholders. A total of 11,843,821 shares (92.5% of all shares) were represented. Shareholders approved all motions proposed by the Board of Directors by a large majority. A withholding tax-free dividend of CHF 2.35 per share will be paid out of reserves from capital contributions on 26 April 2018.

The AGM re-elected all current members of the Board of Directors for further one-year terms, and confirmed Riccardo Boscardin as Chairman of the Board of Directors for another term. Albert Baehny (Chair) and Riccardo Boscardin were re-elected to the Compensation Committee. Following the AGM, the Audit Committee constituted itself with the same membership as before: Thomas Vettiger (Chair), Riccardo Boscardin. Albert Baehny continues as Vice Chairman of the Board of Directors.

The Compensation Report for the 2017 financial year was approved in a consultative vote. The proposals about maximum overall remuneration for Members of the Board of Directors for the period up to the next General Meeting of Shareholders, and about the maximum remuneration for the Executive Board for the 2019 financial year were also approved.

The creation of additional conditional capital in the amount of CHF 128,000, divided into 1,280,000 registered shares with a nominal value of CHF 0.10 each, for the purpose of issuing bonds or similar debt instruments with conversion and/or option rights, was proposed and accepted.

Investis Holding SA’s 2019 Annual General Meeting of Shareholders will take place in Zurich on 29 April 2019.
