Reference is made to the notices to Noteholders dated 1 and 13 August 2014 and 12 and 19 September 2014 (the "Previous Notices") in which the Issuer provided to Noteholders certain information concerning the financial condition of Mriya Agro Holding Public Limited (the "Issuer" or "Mriya") and its subsidiaries (the "Group"). This is an update to the Previous Notices. Capitalised terms used and not defined in this notice shall have the meanings set out in the Previous Notices.

Appointment of Mr. V. Lugovskiy as CEO 

The Group announces the appointment of Mr. Vladyslav Lugovskiy, an existing member of Mriya's Board of Directors and its Chief Operating Officer, as Chief Executive Officer of Mriya in place of Mr. Mykola Guta. Mr. Mykola Guta will continue as Chairman of Mriya's Board of Directors.
Access to dataroom and verification of holdings

Mriya has established a dataroom (the "Dataroom") to which lenders can if they wish have access. The Dataroom contains further information from time to time concerning the Group and its financial situation which may be relevant to lenders. Please note that neither Mriya nor any of its advisers makes any representation regarding the accuracy, sufficiency, relevance or otherwise of any information contained in the Dataroom. Please also note that when accessing the Dataroom, Noteholders will be asked to agree to be bound by certain confidentiality statements and to confirm that they continue to be a holder of Notes. Noteholders should also be aware that accessing the Dataroom may result in such Noteholder being prevented from dealing or encouraging another person to deal in the Notes or any other notes of Mriya or in Mriya's shares.
In order to gain access to the Dataroom, Noteholders must first send an email to Mriya at ir@mriya.ua referencing "Dataroom Access" and the ISIN or CUSIP of the Notes in the subject line and disclosing the identity of the Noteholder, the nominal amount of each ISIN or CUSIP held by the Noteholder and the details of the person(s) who shall represent the Noteholder. Mriya will provide a password for accessing the Dataroom to Noteholders complying with the foregoing procedure.
