Reference is made to the trust deed dated 19 April 2013 made between, inter alia, BNY Mellon Corporate Trustee Services Limited as note trustee (the "Trustee") and Mriya Agro Holding Public Limited (the "Issuer" or "Mriya") pursuant to which the Issuer issued the 9.45% Notes 2018.
The 9.45% Notes 2018 are admitted to the official list of the Irish Stock Exchange and to trading on its regulated market.

Capitalised terms used and not defined in this notice shall have the meanings set out in the Prospectus dated 17 April 2013.
Reference is also made to the notices to Noteholders dated 1 and 13 August 2014 and 12, 19 and 23 September 2014 (the "Previous Notices") in which the Issuer provided to Noteholders certain information concerning the financial condition of the Issuer and its subsidiaries.

Notice of acceleration of the 9.45% Notes 2018

The Issuer has received from the Trustee notice of acceleration of the 9.45% Notes 2018, the purported effect of which is to make the 9.45% Notes 2018 immediately due and repayable at their principal amount together with accrued interest. The Trustee states in its notice that Events of Default have occurred and are continuing by virtue of the failure of the Issuer to repay debt owing by it as further detailed in the Previous Notices and that in giving the notice the Trustee is acting at the direction of holders of more than one-fifth in principal amount of the outstanding 9.45% Notes 2018. The Issuer is considering the effect of the Trustee's notice with the Issuer's advisers.

Notice of acceleration by certain international lending banks
Certain international lending banks have given notices of acceleration of loan facilities made available by them some of which are guaranteed by Mriya. The purported effect of such notices is to cancel those facilities and to make all amounts outstanding under those facilities immediately due and payable. The relevant lenders state in their notices that events of default under those facilities have occurred including non-payment of sums due to those lenders. The aggregate amount of principal and interest currently outstanding under those facilities including accrued interest is approximately EUR 49,000,000. We are considering the effect of these notices with our advisers.
