Shareholder group around Sentis Capital controls over 10% of voting rights of Meyer Burger Technology (MBT) Ltd


The Group calls for the convening of an Extraordinary General Meeting and the election of real shareholder representatives to the Board of Directors of MBT


Sentis Capital, the Teutonia Opportunity Fund and a group of private shareholders today informed Meyer Burger Technology (MBT) Ltd that they form a group and control over 10 percent of the voting rights in MBT. Sentis Capital has increased its stake in the share capital to 8.219%, demonstrating its confidence in MBT's technology and cost leadership in heterojunction technology.

In the light of recent developments at MBT, it is clear that in the near future important decisions will have to be taken by the solar supplier. Any change in strategy and the associated possible transactions must be carried out with the involvement of the owners and communicated transparently to the market. This was not guaranteed in the past. The Group therefore calls for the convening of an Extraordinary General Meeting and the election of two genuine shareholder representatives to the Board of Directors of MBT AG - even before any change in strategy or other strategic options are decided.

The aim is now finally to create value for the shareholders, who have provided the company with a cumulative equity of CHF 1 billion since the IPO in 2006. As of today, MBT has a market capitalization of approximately CHF 240 million and shareholders have not yet received a single dividend payment.

Therefore, the Group will propose and support up to two qualified candidates, Anton Karl and Mark Kerekes, for election to the Board of Directors. Both have based on many years of experience as board members, fund managers, investment bankers and their education skills in the fields of capital markets, financial analysis and law and would perform their function for one symbolic Swiss franc until the company sustainably generates EUR 100 million EBITDA per year.

Mr. Karl and Mr. Kerekes are therefore an ideal addition to the existing Board. They want to constructively support the Board of Directors in its efforts to put MBT on the road to success and will do their utmost to protect the interests of the company and its shareholders/owners.

Anton Karl and Mark Kerekes say: "We are convinced that the Board of Directors and the owners of MBT must work together to ensure a prosperous future for the company".


Group of shareholders welcomes further constructive shareholders
Sentis Capital receives through its website www.changemeyerburger.com almost daily letters from shareholders requesting much more ownership involvement.
The shareholder group is therefore open to accept further constructive shareholders who are willing to support the group in its goals and who own at least 500,000 shares of Meyer Burger Technology Ltd. All shareholders should exercise their voting rights and ensure that their shares are registered in the Company's name register through the custodian bank. There is no voting right without entry in the name register.
