Willkie Farr & Gallagher LLP: Willkie advises Constantia Flexibles on its sale of its Labels Division

On July 17, 2017 Constantia Flexibles announced it had entered into a definitive agreement to sell its Labels division to the US company Multi-Color Corporation ("Multi-Color"). The purchase price consist of a cash component as well as shares in Multi-Color.

The Constantia Flexibles Group is majority owned by the French investor Wendel S.A. Other investors are the Turnauer Foundation and the investor Maxburg Capital Partners.

Constantia Labels is a global supplier of labels to the beverage, food and home as well as personal care industries (HPC), with long-standing customer relationships with leading brands. It has 23 plants in 14 countries and has roughly 2,800 employees.

The transaction comprised work in 17 jurisdictions, the carve-out of the Constantia Labels division from the Constantia Flexibles Group and a share consideration in Multi-Color, resulting in, Constantia Flexibles becoming the largest shareholder of a listed US company.
 
The completion of the transaction is subject to the approval of the relevant antitrust authorities.
