Resolutions adopted at the Extraordinary General Shareholders' Meeting held on 5 December 2014

The Board of Directors of JSC 'Halyk Bank' (LSE: HSBK) hereby announces resolutions adopted at the Extraordinary General Shareholders' Meeting held on 5 December 2014.

1. Proposed amendments and supplements to the Charter of JSC 'Halyk Bank' were approved as submitted for consideration to the Extraordinary General Shareholders' Meeting and will be put into force from 1 January 2015 by qualified majority of total voting shares of JSC 'Halyk Bank'. Powers of attorney to sign amendments and supplements to the Charter of JSC 'Halyk Bank' were entrusted to the CEO of JSC 'Halyk Bank' Mrs. Umut Shayakhmetova.

2. Proposed amendments and supplements to the Corporate Governance Code of JSC 'Halyk Bank' were approved as submitted for consideration to the Extraordinary General Shareholders' Meeting and will be put into force from 1 January 2015 by qualified majority of total voting shares of JSC 'Halyk Bank'.

3. Proposed amendments and supplements to the Regulation of the Board of Directors of JSC 'Halyk Bank' were approved as submitted for consideration to the Extraordinary General Shareholders' Meeting by simple majority of votes of total voting shares of JSC 'Halyk Bank', participating in the voting.
