Information statement on certain resolutions passed by the Board of Directors of OJSC 'Surgutneftegas'

According to the Charter, the number of the members of the Board of Directors is 9 persons.
Seven members of the Board of Directors took part in the voting. This meeting is competent to pass resolutions. The resolutions are passed by 7 votes.
The Board of Directors resolved:
To approve conclusion of the contract between OJSC 'Surgutneftegas' and LLC Insurance Company Surgutneftegas on insurance of liability of directors of OJSC 'Surgutneftegas' that is an interested party transaction under significant conditions specified in the appendix. The significant conditions of the transaction are not disclosed since it was approved before its settlement.
