SWH proposes a 23% dividend increase to the Sika AGM

Baar - Schenker-Winkler Holding (SWH) will propose to the Sika Annual General Meeting (AGM) of 11 April 2017 a dividend in the amount of CHF 96 per bearer share for the financial year 2016. SWH will reject the proposal of the Sika Board of Directors for a dividend of CHF 102 per bearer share. The proposal of SWH corresponds to a dividend increase of 23% against the previous year. The dividend should - in the long-term interests of the Group - only be increased in line with the achieved profit increase of 21.8%. SWH indicated to the Sika Board of Directors early enough to propose an increase of the distribution ratio that would be proportional in relation to the annual profit.

Election of Prof. Dr. Jacques Bischoff
In view of the more than two-year-long dispute over the sale of SWH, a new intermediary member to the Sika Board of Directors is needed as well as a representation of SWH that adequately reflects its voting power. This is in the best interest of all parties. SWH proposes to elect Prof. Dr. Jacques Bischoff to the Sika Board of Directors. Jacques Bischoff has long-term leadership and management experience in the private sector and had been lecturer and assistant professor at different universities and higher education institutions in Switzerland for over 20 years. He was, amongst others, chief legal counsel of Telekurs AG (today: SIX Group) and a member of the Board of Directors of Mastercard Europe. He is member of the Board of Directors of SWH.

A majority of the Sika Board of Directors was not validly elected in the previous year. SWH will again not elect these persons in the Board of Directors, and will also not grant their discharge. Under the current circumstances, SWH will further vote against the compensation for the Board of Directors as proposed for the periods past as well as for the coming year. The prospective compensation for the successful management will not be affected by this dispute.
